Telefónica sells four data centers in exchange for 20% of Nabiax

Telefónica Infra, an infrastructure subsidiary of the Telefónica group, has agreed to sell four data centers to the company Nabiax. At the closing of this operation, Telefónica Infra will acquire 20% of this company, 80% of which is controlled by the independent infrastructure investment management firm Asterion Industrial Partners, with which the telecom already had a close business collaboration. In fact, on May 8, 2019 for an amount of 550 million euros, in order to increase its network to 15 data centers. Telefónica’s new partner Infra gains strength in the ‘carrier neutral’ market, with a network of data centers serving all fiber optic and cloud providers, and likely to increase in value in the future. Among other details, the perimeter of the operation includes a capacity in service of 9.9 megawatts.

, the transfer of the new data centers was practically on track almost three months ago, although certain valuation details remained to be clarified, which made them wait longer than expected. Once the foregoing has been resolved, and as soon as the mandatory regulatory procedures are resolved, Telefónica will enter the capital of Nabiax and will have representation on the board. Therefore, the teleco once again has under its influence the data centers that it sold two years ago, although with a minority capital for now in the company.

As Telefónica explains through a relevant fact, the agreement allows the group to “crystallize the value of its infrastructure assets, keeping intact its commercial positioning, the relationship with its customers and its leadership in the supply of connectivity services and Cloud capabilities for the corporate segment. At the same time, “the 20% stake that Telefónica Infra will hold in Nabiax allows Telefónica to maintain exposure to a booming market, with attractive growth prospects and participating in the generation of value for the company.”

On this occasion, instead of entering cash in exchange for the transfer of assets, Telefónica has chosen to position itself in a company that is set to revalue itself in the coming years, given the growing relevance of business in the cloud, digital transformation, the ‘big data’, data security, artificial intelligence and the virtualization of businesses and online infrastructures. As is logical in this type of operation, the perimeter of the operation does not include the sale of servers owned by Telefónica or its more than 5.5 million business customers hosted on them, nor the management and access to them. .

The transferred centers are located in Spain (Julián Camarillo and Terrassa) and Chile (San Martín and Apoquindo)

The data centers of Telefónica Infra that pass into the hands of Nabiax are the following: the second warehouse of Julián Camarillo (located in the Simancas building in Madrid), the one in Terrassa (Barcelona) and the Chilean ones in San Martín and Apoquindo. All of them will continue to have Telefónica as a client, with the corresponding permanence contract. And exactly the same thing happens with the 11 data centers already sold to Nabiax, which will continue to provide housing services to the telecom. Specifically, and after the incorporation of the aforementioned four data centers, the Asterion company will have facilities in seven different countries: with four data centers in Spain (the two warehouses on Calle Julián Camarillo in Madrid, Alcalá de Henares and the de Terrasa), three in Chile (San Martín, Apoquindo and Paine), two in Argentina (Vélez and Barracas), Brazil (CIC and Tamboré) and Peru (Lince and Monterrico) and one in the United States (Key Center) and Mexico ( Itxlahuaca). Most of these infrastructures have Tier III and Tier IV certification, as well as the endorsement of the Uptime Institute, an entity that creates standards and certifications.

At the same time, Telefónica maintains exclusive ownership of another eight data centers, once 15 facilities have been sold, including the data center located in Alcalá de Henares, the jewel in the crown of Spanish data centers, considered one of the most advanced in the world, with nearly 66,000 square meters in operation and with a reliability of 99.9995%, typical of Tier IV.

As is being demanded in the data center market, in addition to the high speed, security and low latency of its connections, Telefónica’s data centers now in Nabiax are also characterized by their advanced technology, put at the service of refrigeration of the servers, energy efficiency, the redundancy of each phase of the operation, the double power line and the full recovery of information and applications in case of contingencies. All the data centers that are the object of the transaction operate with infrastructures hyperconnected with the Telefónica Infra fiber.

Among other technical details of the data centers now transferred, each of them cannot be out of service for more than 90 minutes a year, a period of time in which the ‘mirror data center’ ensures continuity and security while the recovery tasks, without affecting the services housed in said centers. Until the incorporation of the four new data centers, the Nabiax infrastructure exceeded 24,000 square meters of facilities and an IT capacity of 30 MW. Likewise, the company ensured before the last acquisition the capacity to multiply the total power by six, up to 180 MW through the construction of new phases in its data centers.
